SAVED BY GRACE EMBROIDERY (SBG CUSTOMS)
TERMS & CONDITIONS AGREEMENT
Saved By Grace Embroidery, also known as SBG Customs, SBG, or Saved By Grace Embroidery (“SBG”), operates under Full Alarm Services LLC in Dallas, Texas. These Terms and Conditions govern all products and services provided by SBG.
Effective Date: May 1, 2026
1. Acceptance of Agreement
Engagement with SBG in any capacity constitutes acceptance of this Agreement. This includes, but is not limited to, accepting an estimate or quote, submitting payment in full or in part, approving an invoice through QuickBooks or any authorized payment platform, or receiving any product or service from SBG. No physical signature is required for this Agreement to be binding.
2. Scope of Services
SBG provides custom embroidery, monogramming, hand embroidery, direct-to-film (DTF) printing, rush order services, and live embroidery services for events. All services are subject to availability, production capacity, and the specific scope of each project.
3. Payment Terms
Unless otherwise stated in writing, all invoices are due within thirty (30) days of issuance. SBG accepts payment via cash, card, and any additional methods made available through its invoicing platform, QuickBooks. For live events, full payment is required in advance unless otherwise agreed in writing.
4. Late Payments
Invoices not paid within thirty (30) days of issuance may incur a late fee of up to ten percent (10%) of the outstanding balance, along with any reasonable collection costs permitted by law.
SBG reserves the right to suspend services, delay production, withhold delivery of goods, or refuse future orders until all outstanding balances are paid in full.
5. Rush Orders
Rush services may be available for orders requiring expedited turnaround, typically within one (1) week. Rush fees begin at thirty dollars ($30) and may increase depending on order size, complexity, and production volume. Acceptance of rush orders is not guaranteed and remains at the sole discretion of SBG.
6. Turnaround Times
All quoted turnaround times are estimates unless expressly guaranteed in writing. SBG is not responsible for delays caused by high order volume, supply chain issues, equipment failure, or delays caused by the Client, including late approvals or late delivery of items.
7. Customer-Provided Items
SBG accepts customer-provided garments and materials at the Client’s risk. While reasonable care is taken, SBG is not liable for damage during customization.
Certain processes involve inherent risks, including but not limited to thread pulls, hoop marks, scorching, tearing, press marks, ink variation, or damage caused by defective, delicate, or aged garments.
If an error is directly caused by SBG, resolution shall be determined at SBG’s discretion and may include repair, replacement, or partial reimbursement.
8. Design Approval
Clients are solely responsible for reviewing and approving all design elements, including spelling, placement, color selection, sizing, fonts, and artwork. Approval constitutes acceptance of final production. SBG is not responsible for errors present in approved designs.
9. Refunds and Cancellations
All custom orders are final and non-refundable. Orders that have entered production cannot be canceled.
Refunds for any services or products are issued solely at SBG’s discretion. No refunds will be granted for customer errors, including incorrect sizing, colors, or order details.
10. Live Event Services
All live embroidery event services require payment in full prior to the event date unless otherwise agreed in writing.
Final pricing may be adjusted based on additional hours, scope changes, or event modifications.
SBG and the Client will establish in advance the agreed operating hours, embroidery offerings, and production capacity. Standard production capacity is approximately twenty (20) to twenty-five (25) garments per hour depending on garment type and design complexity.
SBG will not exceed the agreed-upon production rate or contracted event hours. Once contracted hours are completed, SBG is under no obligation to remain onsite or continue embroidery services.
SBG will not take unfinished orders offsite for completion unless agreed in writing prior to the event.
Event Design Selections and Approval
The Client must provide all design inputs, including icon selections, fonts, thread colors, wording, and menu requests at least fourteen (14) days prior to the event date.
All live event menus and offerings must be finalized no later than fourteen (14) days before the event.
If the Client fails to provide timely responses, approvals, or selections, SBG reserves the right to finalize all icons, fonts, colors, and design elements at its discretion to ensure timely preparation and execution.
Delays in communication may result in limited customization options or reduced availability of selections, for which SBG is not responsible.
Event Requirements
The Client agrees to provide:
* adequate and safe workspace,
* reliable electrical access,
* reasonable setup and breakdown access,
* protection from weather (for outdoor events),
* and all required venue permissions.
SBG reserves the right to pause or terminate services if conditions are unsafe or materially different from what was agreed.
11. Pickup, Storage, and Abandoned Property
Completed orders will be held for up to thirty (30) days after notification of completion unless otherwise agreed in writing.
After thirty (30) days, items may be considered abandoned and may be donated, discarded, or otherwise disposed of without liability or refund.
SBG may also charge reasonable storage fees for unclaimed items.
12. Product Use and Sizing Disclaimer
SBG is not responsible for improper use, care, or handling of customized items. All sizing decisions are the responsibility of the Client. SBG is not liable for dissatisfaction related to fit or garment sizing.
13. Limitation of Liability
To the fullest extent permitted by law, SBG’s liability shall be limited to the total amount paid by the Client for the specific order.
SBG is not liable for indirect, incidental, consequential, or punitive damages.
14. Media and Promotional Use
SBG reserves the right to photograph and record video of all products, services, and live events for marketing, portfolio, and promotional use.
By engaging SBG, the Client grants permission for such use across social media, websites, and marketing platforms.
SBG will primarily capture products and processes. If individuals are incidentally captured, reasonable efforts will be made to avoid identifying features or to respect privacy requests when possible.
SBG will not tag, identify, or directly associate the Client without prior consent.
15. Intellectual Property and Artwork Authorization
The Client represents that they own or have rights to all submitted logos, artwork, and designs.
The Client agrees to indemnify and hold harmless SBG and Full Alarm Services LLC against any claims related to intellectual property infringement arising from Client-provided materials.
16. Production Variations
Minor variations in thread color, placement, sizing, alignment, stitching, and overall appearance may occur due to the custom nature of production and are not considered defects.
Inherent risks include thread pulls, hoop marks, heat marks, material distortion, or variation caused by garment quality.
17. Chargebacks and Payment Disputes
Clients agree not to initiate chargebacks without first attempting to resolve disputes directly with SBG.
Unauthorized or fraudulent chargebacks may result in collection actions, recovery of fees, and legal enforcement to the fullest extent permitted by law.
18. Right to Refuse Service
SBG reserves the right to refuse service or decline any order at its sole discretion.
19. Attorney’s Fees
In the event legal action or enforcement is required, the prevailing party shall be entitled to recover reasonable attorney’s fees, court costs, and related expenses where permitted by law.
20. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas.
21. Acknowledgment
By engaging with SBG Customs in any capacity, including accepting a quote, submitting payment, or receiving services, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions in full.
